1. Parties
This Customer Service Agreement (“Agreement”) is entered into between:
Zarva Cleaners LLC, a Wyoming limited liability company (“Zarva”, “Company”, “we”, “us”),
and
the individual or entity booking services (“Customer”, “you”).

2. Nature of Services
Zarva Cleaners LLC operates as a service coordinator and merchant of record, facilitating residential
and commercial cleaning services through a network of independent contractors.
Zarva does not directly perform cleaning services. All services are delivered by independent third
party contractors. Contractors are not employees, agents, or representatives of Zarva
Zarva is responsible for:
Booking coordination
Payment processing
Customer support.

3. Merchant of Record
Zarva Cleaners LLC is the merchant of record for all transactions. All payments are processed by Zarva
Cleaners LLC. Charges will appear under Zarva or a Zarva-related descriptor. Zarva is solely
responsible for billing and transaction handling. Zarva utilizes regulated financial infrastructure
providers to facilitate payment processing, settlement, and fund movement. Such providers may
include federally regulated financial institutions and licensed money transmission partners. Zarva
does not itself provide money transmission services.

4. Booking & Service Flow
Customer agrees to the following service and payment flow:
1.Customer selects service details (type, date, time)
2.Customer provides bank account information (via Plaid or manual entry)
3.Customer authorizes payment by selecting “Authorize & Pay”
4.Customer receives SMS notification containing service and charge details
5.Customer has the opportunity to cancel prior to payment processing
6.Payment is processed via ACH debit. Payment processing, settlement, and fund movement may be
facilitated by Zarva’s financial service providers and banking partners
7.Independent contractor is assigned and service is delivered.

5. Flow of Funds
Customer payments are collected by Zarva Cleaners LLC as the merchant of record.
Funds are received via ACH debit into Zarva’s designated business account
Zarva subsequently disburses payments to independent contractors for completed services, net
of applicable service fees
Contractors do not directly charge, invoice, or debit customers.

6. ACH Authorization (NACHA-Compliant)
By providing bank account information and selecting “Authorize & Pay,” the Customer expressly
authorizes Zarva Cleaners LLC to initiate a one-time ACH debit from the designated bank account.
Customer acknowledges and agrees:
Authorization applies to a single transaction only
Bank account may be verified via Plaid or equivalent verification system
Customer will receive SMS notification prior to debit initiation
Customer may cancel prior to debit processing by contacting support
All transactions are processed in accordance with NACHA Operating Rules
Customer acknowledges that payment processing services may be performed by Zarva’s authorized
financial service providers and banking partners in accordance with applicable regulatory
requirements.

7. No Stored or Recurring Authorization
Zarva does not store or reuse payment authorization for recurring transactions.
Each service booking requires a separate customer authorization.

8. Payment Terms
All services require advance authorization of payment
Charges are processed after SMS confirmation is issued
Pricing is disclosed prior to authorization
Zarva collects payments and remits funds to contractors after service coordination.

9. Cancellations
Cancellation before payment processing → no charge
Cancellation after payment processing → subject to refund policy

9A. Third-Party Payment Services & Passport Program
Zarva utilizes third-party financial infrastructure and payment service providers to facilitate payment
processing, settlement, and fund movement in connection with services provided to customers.
Money transmission services relating to the Passport Program are provided by Priority, directly or
through its subsidiary or its authorized affiliates and contractors.
Where applicable, customers may be required to review and accept additional terms and conditions
related to payment services, including but not limited to:
• Passport Account Agreement
• Payment Services Terms and Conditions
Such agreements may be presented via electronic acceptance (clickwrap) during the payment or
account interaction process. By proceeding with a transaction, the customer acknowledges and agrees
to such applicable payment service terms.

10. Refunds & Disputes
Refund requests must be submitted within 24 hours of service completion.
Refunds may be granted in cases of:
Service not delivered
Material service deficiency
Refunds will not be issued for:
Completed services deemed satisfactory
Customer no-shows
Late cancellations after payment processing
All refund determinations are made at the sole discretion of Zarva Cleaners LLC.

11. Independent Contractor Disclaimer
All services are performed by independent contractors.
Zarva Cleaners LLC:
Does not control the manner or method of service delivery
Does not guarantee specific outcomes
Is not liable for contractor actions, omissions, or negligence.

12. Operational Control
Zarva maintains full operational control over:
Booking process
Payment authorization
Transaction processing
Customer support
Zarva controls the customer-facing transaction flow and authorization process, while payment
processing and fund movement are executed through authorized financial service providers.

13. Service Availability
Service fulfillment is subject to contractor availability
Requested date and time are not guaranteed
Zarva may reschedule based on operational requirements.

14. Limitation of Liability
To the maximum extent permitted by law:
Zarva shall not be liable for indirect, incidental, or consequential damages
Total liability shall not exceed the amount paid for the service.

15. SMS & Communication Consent
Customer agrees to receive transactional SMS communications, including:
Booking confirmations
Payment notifications
Service updates
SMS messages may include:
Service details
Charge amount
Zarva as merchant descriptor
Customers may opt out by replying STOP, subject to operational limitations.

16. Fraud Prevention & Risk Controls
Zarva reserves the right to:
Decline or cancel transactions
Request additional verification
Refuse service where fraud or risk is suspected.

17. Regulatory Position
Zarva Cleaners LLC:
Does not operate as a payment facilitator or money transmitter
Does not provide payment processing services to third parties
Processes payments solely in connection with services arranged for its own customers
Relies on licensed financial institutions and authorized payment service providers for all regulated
payment processing and money transmission activities.

18. Governing Law
This Agreement shall be governed by the laws of the State of Wyoming, USA.

19. Acceptance
By booking a service, checking the authorization box, and/or selecting “Authorize & Pay,” the Customer
confirms:
They have read and understood this Agreement
They authorize the payment
They agree to all terms
They acknowledge and accept applicable third-party payment service agreements where required.
